The Management Board of Cherrypick Games S.A. (“Company”) informs that on February 12, 2021, a cooperation agreement was concluded with Forestlight Games sp. z o.o. with its seat in Warsaw (“Agreement”). Pursuant to the Agreement, Forestlight Games has agreed to develop a port of the game My SPA Resort (“the Game”), the copyright of which is held by the Company, as well as their commercialisation through Nintendo Switch digital distribution platforms and in traditional Nintendo Switch or computer game distribution networks.

On the other hand, the Company granted Forestlight Games an exclusive licence, unlimited in terms of territory, for a period of five years from the date of conclusion of the Agreement, to use the Game and to exploit the subsidiary rights to the Game, including in the fields of exploitation such as digital and traditional distribution, dissemination and marketing, entrusting the preparation of the SWITCH version and the distribution process of the (sublicence) of the Game to a third party.

Under the Agreement, Forestlight Games is entitled to sell the work that is the Game, including the granting of further licences. Forestlight Games will remain the owner of the copyright in the work, which is a derivative work of the Game. Forestlight Games is entitled to set the prices of the work, which is the Game, as well as to change them and to determine the way in which the Game is advertised, marketed or promoted.

The company will be remunerated on an arm’s length basis under a revenue share formula.

The Contract is concluded for a period of 5 years. Either party may terminate the Contract by giving 6 months’ notice effective at the end of a calendar month.
