The Management Board of Cherrypick Games S.A. _”the Company”_ announces that on 16 November 2020, an agreement has been concluded for the launch and release on the e-sports platform owned by San Francisco-based Ryu Technologies Inc. _”Ryu Technologies”_ of at least one e-sports game _”the Game”_ produced by the Company in collaboration with Ryu Technologies.

Under the Agreement, Ryu Technologies has agreed to publish, promote and distribute the Game.

In turn, the Company has agreed to grant Ryu Technologies an international, non-transferable, exclusive licence, without the possibility of sub-licensing, to use the Company’s intellectual property rights and marks in the Game, including, but not limited to, operating, selling, promoting and distributing the Game, making sales within the Game with the Company’s consent, using the title, logos, sequences, screenshots or other parts of the Game for promotional and distribution purposes only.

The parties agreed on the typical revenue sharing principles of similar agreements _Revenue Share_.

The agreement was concluded for two years from the date of release of the Game, with an option for automatic renewal for further periods covering one year. The agreement provides for the possibility of releasing further Games.

Either Party shall be entitled to terminate the Agreement with immediate effect in the event that the other Party commits breaches, after having received a notice of default with a 30-day deadline to remedy such breaches.

Ryu Technologies owns the global e-sports platform Ryu Games.
