Further to ESPI current report No. 18/2021 dated 10 September 2021 regarding the conclusion of a letter of intent with Movie Games S.A. _”Movie Games”_ _”Letter of Intent”_, the Management Board of Cherrypick Games S.A. _”Issuer”, “Company”_ informs that in the course of negotiations aimed at defining framework rules of cooperation between the parties at the preparatory stage, aiming at carrying out the process of merger of one of the companies from Movie Games capital group with the Issuer by acquisition pursuant to Article 492 § 1 point 1 of the Code of Commercial Companies _”Project”_, it decided that the Project will not be carried out, therefore, on 26 November 2021. The Issuer communicated to Movie Games its decision to withdraw from further negotiations.

The parties are not entitled to any claims against each other in connection with the Letter of Intent.

At the same time, the Issuer announces that it continues the process of reviewing strategic options, the purpose of which is to develop a new financing model for the Company, as well as to select the optimal implementation of the Company’s long-term objective, which is the development of the Issuer leading to the maximisation of value for the Company’s shareholders and future investors.
