Subject: Disclosure of delayed insider information on discussions with Kuu Hubb Oy to change MyHospital distribution rules.

The Management Board of Cherrypick Games S.A. (“Company”, “Issuer”) announces that on 26 February 2018 the basic terms and conditions of a possible change in the distribution terms of the game MyHospital were agreed with Kuu Hubb Oy, Helsinki (“Kuu Hubb”, “Distributor”).

The Issuer’s previous cooperation with the Distributor was based on a distribution agreement dated 9 June 2017, pursuant to which the Distributor received a share of the revenue from the MyHospital product and the costs of maintaining and servicing the game were borne by the Issuer.

According to the document signed today, the parties will negotiate to conclude, instead of the aforementioned distribution agreement, an agreement to transfer all rights to the MyHospital game to the Distributor. If the agreement is concluded, Kuu Hubb will also assume the costs of maintenance, marketing and advertising, as well as all costs of software, servers and telecommunication services related to the operation or publication of the game, and the Issuer will maintain a team responsible for the development of My Hospital and development work in the game until the end of the first half of 2021. If the agreement is concluded, Kuu Hubb will pay the Issuer a fee of €2.6 million payable in 26 monthly instalments. In the event that Kuu Hubb recovers the aforementioned amount from the revenue generated from the game, the Issuer will hold a 25% share of the further revenue generated by the game.

The signed document is non-binding in nature, but grants the Distributor exclusive rights to discuss the above area with the Company for a period of 1 year.

The transfer of the rights to the game to Kuu Hubb will enable the Issuer to guarantee the aforementioned income from the game and reduce the associated costs, allowing the Issuer to direct its organisational resources to the development of further games.

At the same time, the Company announces that the public disclosure of confidential information on the commencement of discussions between the two parties on the amendment of the terms of cooperation was delayed on 17 February 2018 until the signing of the aforementioned document pursuant to Article 17 para. 1 and 4 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (“MAR”) due to the protection of the Company’s legitimate interests, i.e. the risk of a negative impact of the information disclosure on the course and outcome of the ongoing negotiations and thus on the possibility of realising the subject matter of the negotiations.
